1. Agreement to Terms

By accessing or using the ToolBox Share platform, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must discontinue use of our services immediately.

These Terms constitute a legally binding agreement between you and ToolBox Share. By using our platform, you acknowledge that you have read, understood, and agree to be bound by all of the terms contained herein. If you are accessing the platform on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms.

2. Eligibility

You must be at least 18 years old and a resident of the USA to register for an account and use our services. By using ToolBox Share, you represent and warrant that you meet these eligibility requirements.

To rent tools from other users, you must pass our identity verification process, which may include providing a valid government-issued ID and proof of address. Tool owners may have additional requirements for their specific listings.

3. Acceptable Use

Users agree to use the platform solely for lawful purposes. You must not use the service to distribute illegal items, harass other users, or attempt to compromise the integrity of the platform.

Specifically, you agree not to: (a) violate any applicable laws, regulations, or third-party rights; (b) transmit any viruses, worms, or other harmful code; (c) attempt to gain unauthorized access to our systems or other users' accounts; (d) collect or store personal data about other users without their consent; (e) engage in any activity that could damage, disable, overburden, or impair our servers or networks; (f) use any automated means to access the platform without our express permission; or (g) impersonate any person or entity or falsely state or misrepresent your affiliation.

We reserve the right to suspend or terminate your account if you violate these acceptable use guidelines, without prior notice or liability.

4. Payments and Refunds

All payments for tool sharing or rental fees are processed securely. Refunds are granted only in accordance with our return policy, subject to review on a case-by-case basis.

Payment Processing: All payments are processed through our secure third-party payment processors. We do not store your credit card or payment information on our servers. By making a payment, you authorize us to charge the specified amount to your selected payment method.

Pricing: Tool rental prices are set by individual tool owners and may vary. Prices are displayed in US dollars and do not include applicable taxes unless stated otherwise. ToolBox Share may charge a service fee for each completed rental, which is disclosed at the time of booking.

Refund Policy: Full refunds are available if you cancel at least 24 hours before your rental start time. Cancellations made within 24 hours of the rental start time are not eligible for a refund. If a tool owner cancels a booking, you will receive a full refund automatically. If a rented tool is returned late, you may be charged additional fees based on the late return duration.

5. Disclaimers and Limitation of Liability

ToolBox Share is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied. In no event shall ToolBox Share be liable for any indirect, incidental, or consequential damages arising from your use of the platform.

No Warranties: We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information, tools, or services on our platform. Any reliance you place on such information is strictly at your own risk.

Tool Condition: ToolBox Share is a platform that connects tool owners with renters. We do not inspect, maintain, or guarantee the condition of tools listed on our platform. Tool owners are responsible for ensuring their tools are in proper working condition and safe to use. Renters should inspect tools before use and report any issues immediately.

Limitation of Liability: To the maximum extent permitted by law, ToolBox Share shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of our platform. Our total liability shall not exceed the amount you have paid us in the twelve months preceding the claim.

6. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify users of any significant changes by updating the "Last Updated" date at the top of this page.

Your continued use of the ToolBox Share platform following any changes indicates your acceptance of the new terms. If you do not agree to the new terms, you should stop using our services. We encourage you to review these Terms periodically to stay informed about our practices.

7. User Accounts

To access certain features of our platform, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account.

Account Responsibilities: You agree to provide accurate, current, and complete information during registration and to update your information as necessary to maintain its accuracy. You are solely responsible for any activity that occurs under your account, whether or not you authorized it. You must immediately notify us of any unauthorized use of your account or any other breach of security.

Account Termination: We reserve the right to suspend or terminate your account at any time, with or without cause, at our sole discretion. Upon termination, you will no longer have access to your account or any associated data. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

8. Intellectual Property

All content, trademarks, and other intellectual property on the ToolBox Share platform are owned by or licensed to us. You may not reproduce, distribute, or create derivative works without our express written permission.

The ToolBox Share name, logo, and all related trademarks, service marks, and graphics are our proprietary property. You may not use our trademarks for any purpose without our prior written consent. All other trademarks, product names, and company names or logos referenced on our platform belong to their respective owners.

By submitting content to our platform (such as tool listings, reviews, or comments), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

9. Prohibited Uses

You agree not to use the platform for any unlawful purposes or in a way that could damage, disable, or impair the service. Prohibited activities include, but are not limited to:

• Distributing viruses or other malicious code
• Attempting to gain unauthorized access to our systems
• Harassing, abusing, or harming another person
• Using the platform to transmit spam or unsolicited communications
• Renting tools for commercial purposes beyond what is permitted
• Engaging in any activity that interferes with or disrupts the platform
• Using another user's account without their permission
• Posting false, misleading, or defamatory content

Tool owners are also prohibited from: (a) listing tools they do not own or have the right to rent; (b) providing misleading or inaccurate tool descriptions; (c) refusing to honor confirmed bookings without valid reason; (d) imposing unreasonable rental terms or conditions.

10. Indemnification

You agree to indemnify and hold harmless ToolBox Share, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform or your violation of these Terms.

This includes, but is not limited to, any claims made by third parties arising from: (a) your violation of any applicable law or regulation; (b) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (c) your use of the platform in a manner not authorized by these Terms; or (d) your rental or use of any tool from another user. You agree to pay any attorney fees and costs incurred by ToolBox Share in defending against such claims.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

Dispute Resolution: Before initiating any legal action, you agree to first attempt to resolve any dispute informally by contacting us. If we cannot resolve the dispute informally within 30 days, you agree that any resulting legal proceedings shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

Arbitration: For certain disputes, we may require binding arbitration instead of litigation in court. Arbitration proceedings will be conducted in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Phoenix, Arizona, and the arbitrator's decision shall be final and binding.
